This agreement (“Agreement”) is made and entered into by and between Urbanis, LLC (“Urbanïs”) and any person or entity (“User”) which uses, accesses, and/or subscribes to this website (“Site” or “website”) in any way or manner, or attends an event hosted in full or in part by Urbanïs.  The Agreement consists of the following terms and conditions (“Terms + Conditions”) and the privacy policy (“Privacy Policy”).  Any User, including any person or entity which accesses or uses the Site, hereby acknowledges and agrees to be bound by all of the terms, conditions and policies of the Agreement, and to comply with all applicable laws.  Urbanïs reserves the right to alter any or all terms of this Agreement at any time without notice, and to terminate your status as a User at any time and for any reason without notice.  It is recommended that the User review this Agreement to ensure proper compliance. 

Use of Site, Personal + Non-Commercial Use Limitation

This website is for personal and noncommercial use only.  You are not permitted to copy, distribute, modify, transmit, display, perform, reproduce, publish, license, or create derivative works from the website. 

You may display and, subject to any expressly stated restrictions or limitations relating to specific material, electronically copy, download and print hard copy portions of the material from the different areas of the site solely for your own noncommercial and personal use.  Any other use of materials on the Site, including but not limited to the modification, reproduction, distribution, republication, display or transmission of the contents of this site without prior written permission of Urbanïs is strictly prohibited.

Urbanïs does not and cannot review all communications and materials posted to or created by users accessing this site and is not in any manner responsible for the content or transmission of these communications and materials.  You acknowledge that by providing you with the ability to view and distribute user generated content on the Site, Urbanïs is merely acting as a passive conduit for such distribution and is not undertaking any obligation or liability relating to any contents or activities which are on the Site.

Urbanïs reserves the right to block or remove communications or materials that it determines in its sole discretion to be abusive, defamatory, obscene, fraudulent, deceptive, or misleading, in violation of California law or any other applicable law(s), or offensive or otherwise unacceptable to Urbanïs at its sole discretion.  Any personally identifiable information you may post or transmit will be treated in accordance with the Privacy Policy.

Urbanïs will have no obligations with respect to this information, communication, and material and will be free to copy, disclose, distribute, incorporate and otherwise use the communications and all data images sounds, text, and other things embodied therein for any and all commercial or noncommercial purposes.

This website and its newsletter have links to other websites; however, Urbanïs is not directly or indirectly implying any approval, association, sponsorship, endorsement or affiliation with the linked site, unless specifically stated therein, you access them at your own risk.  By entering another website using one of Urbanïs’ hyperlinks you acknowledge and agree that Urbanïs has not reviewed all sites linked to this website and is not responsible for the content of any off-site page or any other site linked to this website.

General Conditions & Applicable Laws

This website and newsletter are, to the extent not preempted by federal law, governed by the laws of California.  You agree that jurisdiction over and venue in any legal proceeding directly or indirectly arising out of or relating to this site (including but not limited to the purchase of Urbanïs products) shall be in the San Francisco Superior Court or the United States District Court for the Northern District of California located in San Francisco, California.  All federal, state, provincial and local laws and regulations apply. 

Any cause of action or claim you may have with respect to the Site must be commenced within one year from the date of said use giving rise to said claim.

Urbanïs makes no representation that materials in the Site are appropriate or available for use in other locations and access to them from territories where their content is illegal is prohibited.  Those who choose to access the Site from locations outside California do so out of their own initiative and are responsible for compliance with applicable local laws.  Users may not use or export these materials in violation of U.S. export laws and regulations.
